These Terms of Service ("Terms") govern your use of the MyPortFlow platform, website, and services. By accessing or using MyPortFlow, you agree to be bound by these Terms.
MyPortFlow provides a platform for managing multi-channel ecommerce storefronts across ten channels: Amazon, eBay, Walmart, Wayfair, Facebook Marketplace, Poshmark, Depop, Mercari, custom niche Shopify stores, and TikTok Shops. We source, purchase, fulfill, and manage inventory and customer service on your behalf.
MyPortFlow offers three membership tiers (Foundation, Signature, Sovereign) with different pricing, profit margins, marketplace access, and service levels. Each tier is purchased as a one-time payment.
Your tier fee is a one-time payment due at signup, or paid under a financing arrangement if you choose to finance. You will also be invoiced for the wholesale cost of items after they've been purchased and shipped. Payment is due within 5 business days of invoice.
Refund eligibility, cancellation, and any financing terms are set out in your service agreement and, if you finance, your financing agreement. Upon termination, active orders will be completed and your account will be transitioned.
You represent and warrant that you own or control all marketplace accounts you connect to MyPortFlow. You authorize us to access, manage, and make changes to your marketplace accounts on your behalf through the user permissions or partner access that you grant inside each platform.
You are responsible for maintaining the accuracy and security of your marketplace account credentials. We do not ask for or store your marketplace passwords. You can remove our access at any time inside each platform.
You agree to comply with all marketplace terms of service and policies. MyPortFlow will operate within each marketplace's guidelines, but you remain ultimately responsible for your account's compliance. If a marketplace suspends or terminates your account due to policy violation, we will cease operations for that marketplace.
MyPortFlow's platform, software, design, and technology are owned by MyPortFlow and protected by copyright and other intellectual property laws. Your use of the platform is limited to the scope of your membership.
You retain ownership of your store's content, branding, and data. You grant MyPortFlow a license to use your data as necessary to provide services.
MyPortFlow maintains 99.5% uptime SLA. However, the platform is provided "as is" without warranty of uninterrupted service. We are not liable for temporary outages or service interruptions beyond our control.
To the fullest extent permitted by law, MyPortFlow's total liability for any claims arising out of or relating to these Terms or the Service is limited to the total amount you paid for your membership in the 12 months preceding the claim.
You agree to indemnify and hold MyPortFlow harmless from any claims, damages, or costs arising from your use of the Service, violation of these Terms, or violation of any marketplace's terms of service.

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflicts of law provisions.
Any disputes arising out of these Terms shall be resolved through binding arbitration, except that either party may bring an action in small claims court if the claim qualifies.
MyPortFlow reserves the right to modify these Terms at any time. If we make material changes, we will notify you via email at least 30 days before the changes take effect. Your continued use of the Service constitutes acceptance of the modified Terms.
MyPortFlow may terminate your account immediately if you violate these Terms, engage in illegal activity, or repeatedly violate marketplace policies. Upon termination, we will complete active orders and provide a transition period for your data.
These Terms, together with our Privacy Policy and any other policies posted on our website, constitute the entire agreement between you and MyPortFlow regarding the Service and supersede all prior negotiations and agreements.
